If you do not agree with any part of these Terms, you should not use our website or submit any enquiries or orders through it.

Who We Sell To

GrocerGrade supplies food-grade products (including whole spices, ground spices, spice blends and related food items) primarily to business customers such as importers, distributors, manufacturers, institutional buyers and HoReCa clients.

By using this site or placing an order with us, you confirm that you are acting in the course of a business and that you are duly authorized to enter into binding contracts on behalf of that business.

Product Information and Natural Variations

All product information displayed on our website – including crop origin, grade, purity, quality parameters, packaging and certifications – is intended to give you a general and fair idea of what we supply. This information is illustrative only and does not, by itself, constitute a binding offer.

Each shipment is governed exclusively by the final details stated in the Proforma Invoice and/or International Sales Contract agreed between GrocerGrade and the buyer. As agricultural products are natural in origin, normal commercial variations in colour, appearance, aroma and flavour may occur within the agreed specifications.

Enquiries, Quotations and Confirmed Orders

  • Submitting an enquiry through this website, by email, WhatsApp, phone, or any other channel does not mean your order is confirmed. Any price, availability or product information shared by us is an invitation for you to place an order and not a firm commitment to sell.

  • A binding contract arises only when:

    • GrocerGrade issues a written Proforma Invoice and/or International Sales Contract; and
    • You accept it within the stated validity by written confirmation, payment, or as otherwise agreed in writing.

    GrocerGrade reserves the right, at its sole discretion, to accept or reject any enquiry or order, including after receiving complete buyer details, without any obligation to provide reasons.

Prices, Currencies and Bank Charges

Any prices shown on the website (if and when available) are indicative only and may be changed at any time without prior notice. Final prices, currency, Incoterm, loading port and destination details will always be confirmed in our Proforma Invoice.

Unless expressly stated otherwise in writing:

  • Prices are exclusive of customs duties, local taxes, inspection fees and all other charges in the destination country.
  • All bank charges at the buyer’s end (including intermediary bank charges, receiving bank fees and correspondent bank fees) are to be borne by the buyer.

In the event of any inconsistency, the price, currency and payment terms mentioned in the accepted Proforma Invoice / International Sales Contract shall override and prevail over any information appearing on this website.

Payment Terms

Payment terms – such as advance remittance, CAD, DP, LC at sight and any special conditions – are decided on a case-by-case basis, taking into account buyer profile, order value and destination.

The applicable payment terms for a shipment will be clearly stated in the Proforma Invoice and/or International Sales Contract and shall be the only binding payment conditions for that shipment. If there is any difference between what appears on the website and what is written in the PI/contract, the PI/contract will always prevail.

Shipment, Delivery and Transfer of Risk

Shipment terms (for example, FOB Nhava Sheva, CFR, CIF, FCA or other agreed Incoterms 2020) and delivery timelines are agreed individually for each shipment and clearly mentioned in the Proforma Invoice / International Sales Contract.

Risk and title in the goods pass from GrocerGrade to the buyer strictly in accordance with the agreed Incoterm and governing law mentioned in the applicable Sales Contract, and not at the time of submitting an enquiry or viewing information on the website.

GrocerGrade is not liable for any delay, partial performance or non-performance caused by circumstances beyond its reasonable control, including but not limited to port congestion, container shortages, strikes, lockouts, war, government restrictions, natural disasters, epidemic/pandemic-related disruptions, or transport interruptions (force majeure). In such cases, performance may be suspended for the duration of the event or reasonably adjusted.

Quality, Inspection and Claims

GrocerGrade follows the agreed specifications and standard industry practices for spice quality, cleaning, processing and packing. Where required or agreed, pre-shipment inspection and/or laboratory testing is carried out by recognised agencies, and such certificates form part of the shipping document set.

The buyer is solely responsible for ensuring that the products, specifications, packaging, labelling and documentation comply with the regulatory, labelling and import requirements of the destination country and final market.

Any claim relating to apparent damage, shortage or visible quality issues must be notified to GrocerGrade in writing within a reasonable period after cargo arrival at the destination, together with supporting evidence such as photographs, independent surveyor reports and copies of shipping documents. Goods under claim must be kept properly segregated, clearly identified and not mixed, processed, repacked or resold until the matter is resolved. If the goods are mixed, processed or resold, GrocerGrade may not be able to accept or process the claim.

Use of Website and Intellectual Property

All material on this website – including the name “GrocerGrade”, our logo, product descriptions, photographs, layouts, designs, downloadable documents and other content – is owned by GrocerGrade or used under licence and is protected by applicable copyright, trademark and other intellectual property laws.

You may print or download sections of the site strictly for your internal business evaluation only. Any copying, modification, commercial use, republication, distribution or creation of derivative works from our content, images or documents without our prior written consent is not permitted.
